Strategic Risks and Outlook

The high valuation is largely driven by investor expectations for the AI division, which SpaceX’s prospectus suggests has a total addressable market of over $26 trillion. However, the company explicitly stated in its filing that it “cannot predict” if or when it will achieve sustained profitability.

Musk will maintain firm control over the company post-IPO. Through a dual-class share structure, he is expected to retain approximately 82.4% of the voting power, allowing him to effectively dictate board appointments and major corporate decisions.

Retail investors will be a major part of this offering, with SpaceX allocating 30% of the float to them—significantly higher than the typical 5-10% seen in most IPOs. This move is expected to drive high demand, though analysts warn that the company’s valuation carries a “Musk premium,” where the share price is driven more by the founder’s influence and future promises than by current earnings.
